Pro Membership Terms

Plain-language summary: these are month-to-month contractor marketing and listing services sold by Bill Session LLC. Plans renew at the disclosed monthly price until canceled. A membership does not guarantee leads, jobs, revenue, rankings, or homeowner selection.

1. Parties and acceptance

These Pro Membership Terms are an agreement between Bill Session LLC, operating the Metro East Project Match by Bill service ("Project Match," "we," or "us"), and the business or authorized representative accepting a paid membership ("Member" or "you"). These terms supplement the Website Terms, Privacy Policy, and Referral & Disclosure Notice.

You represent that you are at least 18 years old and authorized to accept these terms for the Member business. A membership begins only after application review, acceptance, presentation of the recurring price and billing cadence at checkout, affirmative acceptance, and successful payment.

2. Application and eligibility

Application review is free. Payment does not replace review and does not guarantee approval. We may request accurate public contact information, service areas, proof of work, reviews, insurance or license information where relevant, and other information reasonably needed to evaluate fit. We may decline, pause, or remove a listing when information cannot be confirmed, is materially inaccurate, or creates a homeowner-trust or legal concern.

3. Launch plans and recurring prices

The exact plan, price, currency, tax if applicable, renewal cadence, and included services shown in the accepted order or Stripe checkout control if they conflict with a general page description. Custom work, ad spend, domains, third-party software, and services outside the selected plan require a separate written scope or charge.

4. Automatic monthly renewal

Each paid plan is a continuous month-to-month subscription. It automatically renews every month at the recurring price disclosed at checkout until canceled. The payment method on file is charged at the start of each new billing period. There is no free trial or annual commitment unless a separate written offer clearly says otherwise.

Before purchase, checkout will identify that the charge recurs, the amount and billing cadence, and how to cancel. Keep the receipt and these terms for your records.

5. Cancellation and billing help

You may cancel before the next renewal through the Stripe customer portal when available or by submitting the online billing and cancellation form. Use the email associated with the membership so the account can be verified. A cancellation normally takes effect at the end of the current paid billing period, stops future renewals, and ends paid benefits at that time.

Submitting a cancellation after a renewal charge does not automatically reverse that completed charge. Except where required by law or expressly approved in writing, fees for a billing period that has started are nonrefundable and there are no prorated refunds. We will correct duplicate or erroneous charges after verification.

6. Price or service changes

We may change a plan price or materially change recurring services only with advance notice provided to the Member using the account contact information. The notice will state when the change takes effect and how to cancel before the changed renewal. Continuing the membership after the effective date constitutes acceptance to the extent permitted by law.

7. What membership does not promise

A membership purchases only the services stated for the selected plan. It does not guarantee leads, inquiries, jobs, project value, homeowner selection, impressions, clicks, revenue, profit, search-engine or AI-answer placement, public-profile ranking, exclusivity, or placement for every service or city. Results depend on homeowner demand, location, fit, proof, competition, availability, platform changes, and factors outside our control.

8. Paid placement and homeowner routing

Paid status or featured visibility will be labeled where material. Payment may affect profile visibility or eligibility to receive consent-based project requests, but it does not create an undisclosed neutral recommendation or trust certification. All-Pro may handle requests directly. Homeowners remain free to choose, contact, or decline any provider.

9. Independent business responsibilities

Members remain independent businesses. Membership does not create employment, agency, partnership, franchise, joint venture, or a promise of subcontract work. Each Member is responsible for its own quotes, contracts, pricing, taxes, registration, licensing, insurance, permits, employees, subcontractors, safety, scheduling, warranties, workmanship, privacy practices, and compliance with applicable law.

You may accurately state that your business is a participating or paid member when that status is active, but you may not represent that you are owned by, employed by, certified by, or guaranteed by Project Match or All-Pro unless a separate written agreement expressly permits that statement.

10. Member content and accuracy

You grant us a nonexclusive, revocable license during the membership to display the business name, logo, public contact information, service descriptions, service areas, photos, links, and other materials you submit for the profile and related promotion. You represent that you have permission to use those materials and that they are accurate, lawful, and not misleading. You must promptly request correction when material information changes.

11. Project requests and personal information

Any homeowner information shared with a Member may be used only to respond to the project request and conduct legitimate related follow-up. It may not be sold, published, added to unrelated marketing, or used for automated marketing calls or texts without the required consent. Members must protect the information and delete it when it is no longer reasonably needed.

12. Reviews and claims

Members may not submit, purchase, generate, or arrange fake reviews; condition an incentive on positive sentiment; suppress honest negative reviews through intimidation or deception; or provide misleading rankings, licenses, insurance, awards, affiliations, or project claims. Paid relationships and material connections must be disclosed where required.

13. Suspension or termination

We may suspend or terminate a membership for failed payment, fraud, unlawful activity, material misinformation, misuse of homeowner information, serious unresolved safety or trust concerns, abuse of the service, or a material breach of these terms. When practical and appropriate, we may provide a chance to correct the issue. Termination stops future service; refund rights remain governed by Section 5 and applicable law.

14. Availability, disclaimers, and liability

The service is provided on an as-available basis. We do not promise uninterrupted availability or error-free operation. To the maximum extent permitted by law, Bill Session LLC and All-Pro are not liable for indirect, incidental, special, exemplary, or consequential damages, lost profits, lost opportunities, or decisions made by homeowners or independent contractors arising from a membership. Nothing in these terms excludes liability that cannot lawfully be limited.

15. Governing law and changes to these terms

Illinois law governs these terms without regard to conflict-of-law rules, except where another law must apply. We may update these terms prospectively. Material changes affecting an active recurring membership will be communicated using the account contact information and will not silently replace a specific accepted order for an already-paid period.
